Terms of Service

Effective 7 May 2026

These Terms of Service (“Terms”) form a binding agreement between you (the “Customer”) and ERPSense AI Private Limited(“ERPSense”, “we”, “us”, “our”) regarding access to and use of the ERPSense.ai platform and services (collectively, the “Service”).

1. Account and access

You must be 18 or older and authorised to bind your business to these Terms. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2. The Service

ERPSense provides a hosted, multi-tenant SaaS platform built on an audited open-source ERP core, with a conversational AI assistant (“Genie”) and supporting tools for Indian SMBs. Specific features available depend on your subscription plan.

3. Subscription and fees

Fees are denominated in Indian rupees (INR), exclusive of GST. Subscriptions renew automatically until cancelled. You may cancel at any time effective at the end of the current billing cycle. We will issue a tax invoice for every payment with our GSTIN.

4. Acceptable use

You agree not to:

  • Use the Service to send unsolicited communications or content that violates law
  • Attempt to bypass authentication, rate limits, or other technical controls
  • Reverse engineer the Service except where explicitly permitted by law
  • Resell, sublicense or white-label the Service without written agreement
  • Upload content you do not have the right to use, including infringing material
  • Use the Service to operate critical-care, life-safety or weapons systems

5. WhatsApp messaging policy

If you connect a WhatsApp Business Account to ERPSense, you additionally agree to comply with Meta’s WhatsApp Business Messaging Policy and Commerce Policy. Specifically, you warrant that:

  • You have obtained explicit, voluntary, opt-in consent from every recipient before sending any WhatsApp message via the Service
  • You will honour opt-out requests (including replies of STOP) immediately and permanently for the recipient who sent them
  • You will use only Meta-approved templates for proactive (business-initiated) messages and will not use template messages for marketing purposes that fall outside Meta’s allowed categories
  • You will not send content that is prohibited under WhatsApp’s policies (including but not limited to: regulated goods, adult content, deceptive content)

Violation of these warranties may result in suspension of WhatsApp connectivity and, where Meta requires it, termination of your account.

6. Customer data and ownership

You retain all rights, title, and interest in the data you submit to the Service (“Customer Data”). You grant ERPSense a limited licence to host, process and display Customer Data solely as required to deliver the Service.

7. Service availability

We target 99.5% monthly uptime for production tenants. Scheduled maintenance windows are notified at least 48 hours in advance and run outside peak Indian business hours where possible.

8. Termination

Either party may terminate by written notice for material breach not cured within 30 days. ERPSense may suspend or terminate immediately for activity that materially threatens platform security or violates Section 4 or Section 5. On termination, you may export your Customer Data within 30 days; thereafter it is deleted in line with our Privacy Policy.

9. Warranties and disclaimers

ERPSense provides the Service “as is” and disclaims all warranties not expressly stated, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

Except for breaches of confidentiality or indemnification obligations, neither party will be liable for any indirect, incidental, special, or consequential damages. ERPSense’s total cumulative liability is limited to the fees paid by you in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Chennai.

12. Changes

We may update these Terms with 30 days’ notice for material changes, by email and on this page. Continued use of the Service after the effective date constitutes acceptance.
